Terms of service
Terms of Service, Online Sale and Event Services
George & Co Monogram
These Terms of Service, Online Sale and Event Services (“Terms”) govern access to and use of the George & Co Monogram website, the purchase of our products, and the booking or use of our live personalization and event services.
In these Terms, “George & Co,” “we,” “us” and “our” refer to [insert complete registered legal business name], operating as George & Co Monogram. “You,” “your,” “customer” and “client” refer to the person accessing our website, purchasing a product, requesting personalization or booking our services.
By using our website, placing an order, approving a quotation, paying an invoice or deposit, or booking our services, you confirm that you have read and accepted these Terms.
Certain orders or events may also be governed by a written quotation, proposal, invoice, event-service agreement or statement of work. If there is a conflict, the following order of priority applies:
-
A signed event-service agreement or accepted proposal;
-
The applicable quotation, order confirmation or invoice;
-
These Terms; and
-
Information displayed elsewhere on our website.
Nothing in these Terms limits a right or remedy that cannot legally be waived under Ontario’s Consumer Protection Act, 2002 or other applicable law.
1. Our Business
George & Co Monogram provides products and services that may include:
-
Personalized leather goods and accessories;
-
Monogrammed, engraved, embossed, debossed or foil-stamped products;
-
Ready-made and made-to-order products;
-
Corporate gifts and bulk orders;
-
Live monogramming and personalization activations;
-
Weddings, corporate events, brand activations, pop-ups and workshops; and
-
Related creative, production and event services.
Products and services may change or be discontinued without notice, subject to existing accepted orders and applicable law.
2. Eligibility and Authority
You must be at least 18 years old or have the permission and supervision of a parent or legal guardian to place an order.
If you place an order or book an event on behalf of a company, organization or another person, you represent that you have authority to bind that party to the order, proposal and these Terms.
3. Website Use
George & Co grants you a limited, revocable, non-exclusive and non-transferable right to use the website for lawful personal or internal business purposes.
You must not:
-
Use the website unlawfully or fraudulently;
-
Interfere with its operation, security or accessibility;
-
Introduce malicious code or attempt unauthorized access;
-
Scrape, copy or harvest website content or customer information;
-
Misrepresent your identity or authority;
-
Use our content, photographs, designs or branding without permission; or
-
Use the website in a manner that infringes another person’s rights.
We may restrict or terminate access where we reasonably believe these Terms have been violated.
4. Product Information
We make reasonable efforts to display product descriptions, colours, dimensions, materials and photographs accurately. However:
-
Screen settings may affect how colours appear;
-
Measurements may have reasonable manufacturing tolerances;
-
Leather, wood, fabric and other natural or handmade materials may vary;
-
Product photographs may include styling items that are not included;
-
Packaging may vary; and
-
Minor design or component changes may occur between production batches.
Please review the complete product description before ordering. Contact us before purchase if a particular colour, measurement, material, finish or feature is essential.
5. Handmade and Personalized Characteristics
Many George & Co products are handmade, hand-finished, individually personalized or completed live at an event. As a result, each item may be unique.
Natural and handmade variations may include:
-
Slight differences in colour, grain, texture or thickness;
-
Minor variations in dimensions, alignment or placement;
-
Subtle differences in foil coverage, impression depth or engraving tone;
-
Small marks or irregularities associated with leather or other natural materials;
-
Variations between product batches; and
-
Slight differences between a sample, digital mock-up and finished item.
These reasonable variations are part of the character of a handmade or personalized product and will not ordinarily be considered defects.
This provision does not apply to substantial damage, incorrect personalization caused by George & Co, a materially incorrect product or another failure covered by applicable consumer law.
6. Orders and Acceptance
Submitting an order does not automatically mean that we have accepted it. An order is accepted when we issue an order confirmation, accept payment, begin production or otherwise confirm acceptance in writing.
We may decline or cancel an order before acceptance where:
-
A product or material is unavailable;
-
Pricing or product information contains a material error;
-
We cannot complete the requested personalization;
-
The requested content is unlawful, offensive or infringes another person’s rights;
-
Fraud or unauthorized payment is suspected;
-
The delivery location cannot reasonably be serviced; or
-
Circumstances outside our reasonable control prevent fulfilment.
If we cancel an accepted consumer order without providing the applicable product or service, we will refund the amount paid for the cancelled portion, subject to applicable law.
Before completing an online purchase, customers will be given an opportunity to review the order, total price and personalization details and to correct errors.
7. Personalization Information
You are responsible for reviewing all names, initials, dates, messages, spelling, capitalization, punctuation, colours, fonts and placement instructions before submitting or approving an order.
Personalization will be produced according to the information approved by you. We are not responsible for an error contained in customer-submitted or customer-approved information.
Where a proof or mock-up is provided:
-
Production will not begin until approval is received;
-
Your approval confirms that the content, spelling, placement and design are correct;
-
Delayed approval may delay production or delivery; and
-
Changes requested after approval may incur additional charges and may not be possible.
We may make minor technical adjustments necessary for safe production, legibility or compatibility with the selected item.
8. Customer-Supplied Artwork and Content
You represent that you own or have obtained all necessary rights and permissions for any logo, artwork, photograph, trademark, wording or other content supplied to us.
You must not request content that:
-
Infringes copyright, trademark, privacy, publicity or other rights;
-
Is unlawful, threatening, hateful, defamatory or discriminatory;
-
Is fraudulent or misleading; or
-
Could reasonably expose George & Co to a legal claim.
We may reject content at our reasonable discretion.
You grant George & Co a limited licence to reproduce and adapt submitted content solely as necessary to prepare proofs, manufacture products and provide the requested services.
For a business or organizational order, you agree to indemnify George & Co against third-party claims arising directly from content you supplied without the required rights or permissions, except to the extent caused by our own wrongful conduct. This indemnity does not apply where prohibited by consumer law.
9. Product and Material Substitutions
Materials, colours, hardware, packaging and product styles may occasionally become unavailable because of supplier shortages, discontinued items, shipping delays or other circumstances beyond our reasonable control.
Online retail orders
For an online order involving a specific product, we will not make a material substitution without contacting you and obtaining your approval.
If the original item is unavailable, we may offer:
-
The same product in a comparable colour or finish;
-
A substantially similar product of equal or greater retail value;
-
A reasonable alternative material or component;
-
A store credit, where accepted by you; or
-
Cancellation and a refund for the unavailable item.
You may accept or decline a proposed material substitution. If you decline and we cannot provide the ordered item, we will refund the amount paid for that item.
Minor substitutions that do not materially change the item’s appearance, function, quality or value may be made where reasonably necessary.
Live events and bulk activations
For live events, we may substitute an unavailable item, colour, material, tool or component with a reasonably comparable option of equal or greater value where the substitution does not materially change the agreed event experience.
Where a proposed substitution would materially affect the event design, branding, product selection, function or value, we will obtain the client’s written approval before proceeding.
Event guests may be offered comparable product options based on available inventory. Unless an event agreement expressly guarantees a particular item or colour for every attendee, guest selection remains subject to availability.
10. Pricing, Taxes and Additional Charges
Prices are stated in Canadian dollars unless otherwise indicated.
Applicable taxes, delivery charges, approved customization charges and any other mandatory fees will be disclosed before an online order is completed or in the applicable event proposal or quotation.
We will not intentionally advertise an unattainable price by adding undisclosed mandatory charges later in the purchasing process.
A displayed price may be corrected if it results from an obvious typographical, technical or system error. If an error affects an accepted order, we will contact you and allow you to accept the corrected price or cancel the affected item for a refund.
Event pricing is based on the agreed scope, date, location, duration, estimated attendance, staffing, travel, setup requirements and product quantities. Additional work or costs requested after acceptance require written approval and may be invoiced separately.
11. Payment
Online orders must be paid using an accepted payment method at checkout unless we approve other arrangements.
Event bookings may require:
-
A non-refundable booking retainer of [insert percentage or dollar amount];
-
Progress payments described in the proposal; and
-
Payment of the final balance by [insert number] days before the event.
An event date is not reserved until the required retainer has been received and the booking has been confirmed in writing.
Overdue business invoices may accrue interest at [insert percentage]% per month, not exceeding the maximum permitted by law, together with reasonable collection costs where legally recoverable.
We may pause production, withhold delivery or decline to attend an event if required payments are overdue, subject to applicable consumer law and the applicable agreement.
12. Production Times
Production and processing times are estimates unless we expressly guarantee a completion date in writing.
Production times begin only after we receive:
-
Cleared payment or the required deposit;
-
Complete personalization information;
-
Approval of any required proof; and
-
Any customer-supplied product, artwork or materials.
Rush service is subject to availability and may involve an additional disclosed fee.
We are not responsible for delays caused by incomplete information, delayed approvals, payment issues, courier disruptions, supplier shortages or circumstances outside our reasonable control.
13. Shipping, Delivery and Pickup
Delivery estimates are not guarantees unless expressly confirmed in writing.
You are responsible for providing a complete and accurate delivery address. Additional costs caused by an incorrect address, refused delivery or unsuccessful delivery attempt may be charged where permitted by law.
When an order is shipped, tracking information may be supplied where available. Responsibility for loss or damage during delivery will be allocated in accordance with applicable law and any carrier process.
If an order arrives visibly damaged, please retain the packaging and contact us promptly at [email address] with photographs of:
-
The exterior packaging;
-
The shipping label;
-
The damaged area; and
-
The complete product.
Pickup orders must be collected within [insert number] days after notification. Storage charges may apply after reasonable notice. We will not dispose of paid goods except in accordance with applicable law and after providing reasonable notice.
14. Returns, Exchanges and Personalized Products
Except where required by law or stated in a product-specific return policy:
-
Personalized, monogrammed, engraved, embossed, debossed, foil-stamped, made-to-order and final-sale products cannot be returned or exchanged because they were produced for a specific customer;
-
Changes of mind, incorrect customer-submitted spelling and selection of an incorrect size, colour or style are not defects; and
-
Shipping charges are non-refundable unless the return results from our error or applicable law requires otherwise.
This final-sale provision does not remove rights relating to defective products, products that materially differ from their description, incorrect personalization caused by George & Co or other rights that cannot legally be waived.
Please report a suspected defect or order error within [7] days after delivery and provide photographs and the order number. A short reporting period helps us investigate but does not eliminate rights that apply under law.
Where we confirm that we made a material error, we may, as appropriate:
-
Correct the personalization;
-
Repair the item;
-
Replace the item;
-
Provide an equivalent item with your approval; or
-
Issue a full or partial refund.
15. Statutory Online-Purchase Rights
Ontario consumers may have cancellation or refund rights where an internet agreement does not contain required information, where a proper copy of the agreement is not provided, where the customer was not given an opportunity to accept or decline and correct errors, or where goods or services are not delivered within the period required by law.
Nothing in these Terms limits those statutory rights.
Your order confirmation or receipt will be delivered electronically to the email address supplied during checkout. You are responsible for providing a working and accurate email address and retaining the confirmation.
16. Event Quotations and Scope
An event booking covers only the products, services, hours, staffing, quantities and deliverables listed in the accepted proposal.
Unless expressly included, an event booking does not include:
-
Venue rental;
-
Tables, chairs, tents or décor;
-
Electrical service or Internet access;
-
Parking, loading or security charges;
-
Permits or venue fees;
-
Event insurance;
-
Photography or videography;
-
Products exceeding the stated quantity;
-
Additional operating hours; or
-
Services not identified in the proposal.
Changes must be requested in writing. We will advise whether the change is feasible and whether additional charges apply.
17. Client Event Responsibilities
The event client is responsible for:
-
Providing accurate venue, date, timing and attendance information;
-
Obtaining venue approval for our services and equipment;
-
Providing safe, timely access for loading, setup, operation and removal;
-
Providing the agreed table space, lighting, power and Internet access;
-
Maintaining a safe and reasonably accessible working area;
-
Informing us of venue restrictions, stairs, loading limitations and parking requirements;
-
Obtaining permits, permissions and event insurance required from the organizer;
-
Managing guests and lineups unless crowd management is included;
-
Ensuring children are appropriately supervised;
-
Protecting our personnel and equipment from unsafe behaviour, weather and hazards; and
-
Paying venue, parking, loading, toll and access charges identified in the proposal or reasonably incurred with authorization.
Delays caused by the client, venue, guests or other vendors do not automatically extend the booked service period. Additional time is subject to staff availability and additional charges.
18. Event Capacity and Guest Quantities
Any estimate of the number of guests or items that can be personalized is an estimate based on ordinary operating conditions.
Actual output may be affected by:
-
The complexity or length of requested personalization;
-
Guest decision time;
-
Product preparation;
-
Equipment requirements;
-
Venue access;
-
Technical interruptions;
-
Guest arrival patterns; and
-
Safety considerations.
Unless expressly guaranteed in writing, payment for an event activation reserves personnel, equipment, inventory and service time; it does not guarantee that every attendee will receive an item.
We may use reasonable measures such as cut-off times, product limits, pre-selected fonts or character limits to maintain service flow.
19. Live Personalization and Customer-Supplied Items
Personalizing leather and other materials involves heat, pressure, lasers, cutting, foil, adhesives or mechanical processes. Material response can vary and cannot always be predicted.
We may decline to personalize an item that appears unsafe, unsuitable, excessively valuable, irreplaceable, fragile, counterfeit or incompatible with our equipment.
Where we agree to personalize an item supplied by a client or guest:
-
The owner confirms that they are authorized to have the item altered;
-
The owner accepts the ordinary risks inherent in the requested process;
-
A test may be required on an inconspicuous area or sample material;
-
Exact colour, impression depth or finish cannot be guaranteed;
-
Existing wear, coatings, seams and material inconsistencies may affect the result; and
-
We are not responsible for pre-existing damage or an undisclosed material defect.
We remain responsible for damage caused by our failure to exercise reasonable care. Any special valuation or replacement arrangement for high-value customer-supplied items must be agreed in writing before service begins.
20. Event Safety and Right to Stop Work
We may pause, modify or stop services if conditions are unsafe or unlawful, including:
-
Unsafe electrical connections;
-
Severe weather or exposure not contemplated by the booking;
-
Harassment, violence or threatening conduct;
-
Overcrowding or blocked emergency access;
-
Unsupervised access to hot, sharp or powered equipment;
-
Venue instructions requiring us to stop; or
-
Any condition creating a reasonable risk to people, property or equipment.
We will attempt to resolve the issue with the client where reasonably possible. A safety-related stoppage caused by the client, venue or guests does not entitle the client to a refund for services and resources already provided or reserved, except where required by law.
21. Event Cancellation and Rescheduling
The event cancellation and rescheduling terms in an accepted proposal will govern the applicable booking.
Unless a proposal states otherwise:
-
The booking retainer is applied toward the event price and compensates us for reserving the date, administration and initial preparation;
-
A cancellation more than [insert number] days before the event results in [insert refund or amount payable];
-
A cancellation between [insert number] and [insert number] days before the event results in [insert refund or amount payable];
-
A cancellation fewer than [insert number] days before the event results in [insert refund or amount payable];
-
Approved custom products, completed work, specially sourced inventory and non-recoverable expenses remain payable;
-
Rescheduling is subject to availability and may involve a rescheduling fee and updated pricing; and
-
A requested date change is not confirmed until accepted in writing.
Any non-refundable amount will be reasonable in relation to the work performed, expenses incurred, inventory committed and loss associated with reserving the date, and remains subject to applicable law.
22. Cancellation by George & Co
If we cannot provide an event service because of circumstances within our reasonable control, we may offer:
-
A mutually acceptable replacement date;
-
A reasonably comparable replacement service;
-
An approved substitute provider; or
-
A refund of amounts paid for the portion not provided.
The client may decline a material replacement and receive the applicable refund for unprovided services.
23. Force Majeure
Neither party will be liable for a delay or failure caused by circumstances beyond its reasonable control, including severe weather, natural disasters, fire, flood, epidemic, government restrictions, venue closure, transportation disruption, utility failure, labour disruption, civil unrest or widespread supplier interruption.
The affected party will provide notice as reasonably practicable and make reasonable efforts to reduce the impact.
For event bookings, the parties will first attempt to reschedule or modify the services. Amounts already spent on approved custom work, non-refundable supplies, travel or third-party commitments may remain payable to the extent permitted by law.
This section does not remove a refund or cancellation right that cannot legally be waived.
24. Photography, Video and Privacy
We may photograph or record our products, displays and event services as described in our Privacy Policy and any applicable event notice or release.
Identifiable photographs or recordings of guests will be collected and used for promotional purposes only with appropriate notice and consent where required.
Clients must not represent that George & Co has unrestricted rights to use an attendee’s image unless the necessary permissions have been obtained.
Our handling of personal information is governed by the George & Co Monogram Privacy Policy, available at [insert Privacy Policy link].
25. Intellectual Property
The website and its contents—including the George & Co name, logo, product photographs, written content, layouts, graphics, videos, designs and original samples—are owned by or licensed to George & Co and are protected by applicable intellectual-property laws.
No content may be copied, reproduced, modified, distributed, sold or commercially exploited without written permission.
Purchasing a product does not transfer intellectual-property rights in our branding, photographs, templates, production methods or original designs.
Unless otherwise agreed, custom design concepts, mock-ups and samples remain our property until the applicable design charges have been paid. Ownership or licensing of custom commissioned artwork should be addressed in the applicable proposal.
26. Reviews and Customer Content
If you voluntarily submit a review, testimonial, photograph or other content for promotional use, you confirm that:
-
The content is truthful;
-
You own it or have permission to provide it;
-
It does not infringe another person’s rights; and
-
We may reproduce it for the purposes disclosed when it was submitted.
Any promotional use of identifiable customer content remains subject to our Privacy Policy and applicable consent requirements.
27. Third-Party Services and Links
Our website may contain links to payment processors, social-media platforms, delivery providers or other third-party services.
We do not control third-party websites and are not responsible for their independent content, availability, terms or privacy practices. Your use of those services may be governed by separate third-party terms.
28. Disclaimer
We will provide products and services with reasonable care and in accordance with the accepted order or proposal.
To the fullest extent permitted by law, the website and general informational content are provided on an “as available” basis. We do not guarantee that the website will be uninterrupted, error-free or free from all harmful components.
No provision of these Terms excludes statutory warranties, conditions or remedies that cannot legally be excluded.
29. Limitation of Liability
To the fullest extent permitted by law, George & Co will not be liable for indirect, incidental, special or consequential losses, including lost profits, lost business opportunities or reputational loss, arising from use of the website or an order or event service.
For a business client, our total liability arising from a particular order or event will not exceed the amount paid or payable to George & Co for the affected order or event.
This limitation does not apply to:
-
Fraud or wilful misconduct;
-
Gross negligence;
-
Personal injury or property damage to the extent caused by our negligence;
-
Breach of legal obligations that cannot be limited; or
-
Remedies that cannot be excluded under applicable consumer law.
Consumer customers remain entitled to all non-waivable statutory rights.
30. Business-Client Indemnification
A business or organizational client agrees to indemnify George & Co against reasonable third-party claims, losses and expenses arising from:
-
Unlawful or infringing materials supplied by the client;
-
The client’s material breach of these Terms or the event agreement;
-
Unsafe venue conditions under the client’s control; or
-
The acts of the client’s employees, contractors or representatives.
This obligation applies only to the extent the claim was not caused by George & Co’s negligence or wrongful conduct. It does not apply to individual consumers where prohibited by law.
31. Complaints and Dispute Resolution
Please contact us first so that we can attempt to resolve any concern promptly and fairly:

Nothing in these Terms requires an Ontario consumer to submit a dispute to mandatory arbitration or prevents a consumer from exercising rights available under applicable law.
32. Governing Law
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada.
Subject to any consumer right to bring a proceeding in another jurisdiction, the parties submit to the courts of Ontario.
33. Changes to These Terms
We may update these Terms for future website use, orders and bookings by posting a revised version with a new “Last updated” date.
A material change will not retroactively alter an already accepted order or event agreement unless:
-
Both parties agree to the change;
-
The applicable agreement permits it; or
-
The change is required by law.
34. General Provisions
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply.
Our failure to enforce a provision immediately does not waive our right to enforce it later.
You may not assign an accepted event agreement without our written consent. We may use qualified employees, contractors and service providers to fulfill an order or event while remaining responsible for our contractual obligations.
These Terms, together with the accepted order documents and Privacy Policy, constitute the agreement between the parties concerning the applicable website use, order or service.
